Quotation and Sales Terms & Conditions

Pricing
  1. The agreed prices, payment terms and delivery schedules shall be as indicated in the respective quotation(s).
  2. In cases of discrepancy, the terms and conditions in SERMAX quotation(s) shall prevail over the Buyer’s purchase order.

Invoice
  1. SERMAX will issue invoices in accordance with the terms and conditions indicated in each respective quotation(s) and such terms and conditions must be reflected in the same manner in the Buyer’s purchase order.
  2. Buyer shall remit payment within the agreed timeline stipulated in the invoice issued by SERMAX.
  3. Late payment charges will be imposed if payment is not received within the timeline stipulated in the invoice.

Delivery and Acceptance
  1. Delivery of Goods shall be deemed to be completed upon acceptance by Buyer.
  2. The risk of loss and title shall pass to the Buyer in accordance to the INCOTERMS 2020.

Changes
  1. Buyer shall immediately notify SERMAX for changes to the purchase order.
  2. In the event SERMAX is unable to accommodate with the changes, Buyer shall compensate SERMAX with the costs of finished goods or a pro-rated amount of the affected Goods, including any costs that has been incurred due to the inconvenience caused by the changes.

Cancelation
  1. Cancelation of purchase orders are not allowed.
  2. In the event that the Buyer wishes to proceed with the cancelation, the Buyer shall compensate SERMAX with the costs of finished goods or a pro-rated amount of the affected Goods, including any costs that has been incurred due to the inconvenience caused by the cancelation.

Confidentiality
  1. SERMAX and Buyer agree to maintain and protect the confidentiality of all Confidential Information, defined as any information not generally known in the relevant trade or industry.
  2. SERMAX and Buyer agree not to disclose Confidential Information to any third party except as required by law or with permission from the disclosing party.

Ethical Business
  1. Buyer agrees and commits to use the products and/or services provided by SERMAX in an ethical and legal manner.
  2. Buyer shall comply to all regulatory and legal compliance, including human rights.
  3. Buyer shall comply to the Personal Data Protection Act 2010 and its amendments.
